Mason is seeking an exceptional transactional attorney to serve as our Corporate Counsel. In this position, you will work on a variety of legal matters, providing advice on compliance issues, contract negotiations, and disputes. You will collaborate with department managers to draft legal documents and review contracts to ensure they meet the company's acceptable level of risk tolerance.  When necessary, you will also coordinate with outside counsel. Our ideal candidate has at least five years of legal experience and is familiar with laws concerning intellectual property and employment. 

 

This is a unique opportunity to evolve a global, rapidly growing team that is building massively impactful products. This role will help contribute to multiple functions and partner closely with the leadership team.

What you'll work on:

 

  • Review, draft, and negotiate commercial agreements, including customer agreements for the purchase of complex hardware/ software platform as a service (PAAS) offerings, IP and technology licenses, and supplier agreements.
  • Provide contract interpretation and guidance to internal stakeholders
  • Communicates with and directs outside contacts, including outside counsel, with respect to regulatory compliance, intellectual property, and/or employment matters.
  • Maintains knowledge of current legal issues that impact the business 
  • Offer the company legal advice in a variety of areas
  • Monitor our activities for compliance issues
  • Communicate with stakeholders on legal matters

What you bring to the table: 

  • J.D. from an accredited law school
  • Membership at least one State Bar Association
  • Experience with the contract, employment, and IP law in a small to midsize company or startup environment
  • 4+ years of in-house legal department work experience with  a technology company (preferably software)
  • 4+  years experience with drafting and negotiating enterprise-wide technology contracts
  • Strong attention to detail, communication, and research skills
  • Must be a strong team player able to work cooperatively with others, both internal and external to the company, to find practical and creative solutions to problems
  • Positive attitude and desire to contribute to a growing business
  • Prior experience successfully operating in a fluid, fast-paced, entrepreneurial environment
